Here’s the brief terms and conditions we have. 

1. Minimum Order Value

For first time customers of DRINKE, the minimum order value is $260.

2. Products and Orders

• The Wholesaler agrees to supply the Products to the Retailer at wholesale prices listed in Upstock, the online wholesale portal.

• The Retailer will place orders via email or the online portal ‘Upstock’, and agrees to meet any minimum order requirements.

• The Wholesaler reserves the right to amend the Product list or prices with 20 days' written notice to the Retailer

3. RRP

Products or goods purchased from DRINKE shall be sold at the Recommended Retail Price (RRP), plus or minus 15%. In the event the Retailer chooses to place the Products for sale at a discount, it shall not discount the products more than 15% below RRP. Permission for special sale events beyond the 15% discount by the Retailer will require a request in writing via email.

4. Wholesale Pricing and Payment

The Products shall be sold at the wholesale prices listed on Upstock and are exclusive of GST and any freight charges.

The first 3 orders are required to be paid upfront, orders will be shipped upon payment. Following orders can move to our invoicing system. Payment is due within 20 days of the date of the invoice.

Late payments may incur a 5% penalty for each 10-day period they remain unpaid.

5. Delivery and Damages

The Wholesaler will arrange for the delivery of the Products to the Retailer’s address, with delivery costs borne by the Retailer. Dispatch will occur same day on orders placed before 12pm and orders will be delivered overnight within Auckland or within 2-3 business days for the remainder of New Zealand.

Please inspect all shipments immediately upon arrival. Please contact DRINKE at hello@drinke.co.nz within 5 days of receipt of damaged or defective shipments. Returned Products will be replaced. Returned Products will not be accepted if it is held for more than 15 days after receipt.

6. Returns and Refunds

The Retailer may return defective Products within 14 days of receipt for a full refund or replacement. Products returned for any reason other than defects must be in original condition and packaging, and subject to a 15% restocking fee.

7. Exclusivity

This Agreement does not grant the Retailer exclusive rights to sell DRINKE Products.

8. Intellectual Property

The Retailer is authorised to use the Wholesaler’s trademarks and logos solely for the purpose of marketing and selling the Products. Such use shall cease immediately upon termination of this Agreement.

9. Warranties and Liability

The Wholesaler warrants that the Products will be of satisfactory quality and conform to the description outlined on the Product page of the website. The Wholesaler’s liability for any claim arising under this Agreement shall be limited to the price paid for the Products in question.

10. Termination

Either party may terminate this Agreement by giving 7 days’ written notice. The Wholesaler may terminate immediately if the Retailer fails to make payments or breaches any other term of this Agreement. Upon termination, the Retailer shall settle any outstanding payments and return unsold Products as agreed.

11. Confidentiality

In the event of a dispute, the parties shall first attempt to resolve the matter through good-faith negotiation. If negotiation fails, the matter shall be submitted to mediation or arbitration under New Zealand law.

12. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of New Zealand.
